("AccountingHub", "we", "our", or "us"). By accessing or using our website, you agree to be bound by these Terms. If you do not agree, you should not use our website or services.
About Our Services
AccountingHub operates as an advisory and marketplace service that connects sellers and buyers of accounting practices in Canada. We provide consultation, valuation guidance, buyer screening, and transaction coordination services to facilitate the sale and acquisition of accounting practices.
AccountingHub is not a party to any transaction between buyers and sellers. We do not act as a broker, agent, fiduciary, or legal representative of any buyer or seller. Any agreement for the sale or purchase of an accounting practice is solely between the buyer and seller. AccountingHub does not guarantee the completion of any transaction.
Eligibility
You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our services. By using our website, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.
User Obligations
When using our website and services, you agree to:
- Provide accurate, current, and complete information in any forms or submissions
- Not submit false, misleading, or deceptive information about yourself or any accounting practice
- Comply with all applicable federal and provincial laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and Canada's Anti-Spam Legislation (CASL)

Seller Responsibilities
If you submit information as a prospective seller, you represent and warrant that:
- You have the legal authority to sell or explore the sale of the accounting practice
- All information you provide about your practice, including financial data, client base, and revenue, is truthful and not misleading
- You will respond to inquiries in a timely manner and engage in the process in good faith
- You assume all responsibility for the accuracy and completeness of any information you provide
Buyer Responsibilities
If you submit information as a prospective buyer, you acknowledge and agree that:
- You are solely responsible for conducting your own independent due diligence before entering into any transaction
- You will not rely solely on information provided through AccountingHub when making acquisition decisions
- You will use information obtained through the platform only for the purpose of evaluating a potential acquisition
- You will engage with sellers and their representatives in good faith and in a professional manner
Confidentiality
The nature of accounting practice sales requires a high degree of confidentiality. All non-public information shared through or in connection with AccountingHub — including financial data, client information, revenue figures, employee details, and proprietary business methods — must be treated as confidential.
You agree not to disclose confidential information to any third party without the prior written consent of the party that provided it. Buyers may be required to execute a Non-Disclosure Agreement before receiving detailed information about any listed practice. Confidentiality obligations survive any termination of your relationship with AccountingHub.
Records, Books of Account, and Document Custody
You acknowledge and agree that AccountingHub does not act as, and shall not be deemed to act as, the custodian, keeper, or maintainer of any records, books of account, working papers, client files, or supporting documentation belonging to you or to any accounting practice associated with you. Any documents, files, or information that you transmit, upload, or otherwise make available through the website are exchanged solely for the limited purpose of facilitating communications between prospective buyers and sellers in connection with a potential transaction, and not for the purposes of statutory record retention, archiving, or preservation of any kind.
You are solely and exclusively responsible for ensuring full and continuing compliance with all applicable record-keeping obligations under Canadian federal and provincial law, including without limitation those set out in Section 230(1) of the Income Tax Act (Canada), which requires every person carrying on business in Canada, and every person who is required by the Income Tax Act (Canada) to pay or collect taxes or other amounts, to keep records and books of account at that person's place of business or residence in Canada, or at such other place as may be designated by the Minister of National Revenue. You acknowledge that it is the position of the Canada Revenue Agency that such records and books of account must be maintained in Canada, and that mere accessibility from within Canada of records hosted, stored, or maintained outside of Canada does not, without express written authorization from the Minister, satisfy this requirement.
You shall retain, at your own cost, risk, and expense, your own complete, original, and authoritative copies of all records, books of account, working papers, client files, engagement letters, and supporting documentation pertaining to your practice, in such form and at such location as is required by applicable law. You shall not rely upon AccountingHub, the website, or any storage, transmission, or messaging feature of the website for the maintenance, preservation, archiving, retention, or production of any records or documents required to be kept under applicable law. AccountingHub may, in its sole and absolute discretion, with or without notice, modify, redact, delete, or remove any content transmitted through or stored within the website at any time, and shall have no obligation to retain any such content for any minimum period.
You hereby agree to defend, indemnify, and hold harmless AccountingHub Inc., its officers, directors, employees, and agents from and against any and all liabilities, penalties, assessments, reassessments, interest, fines, claims, costs, and expenses (including reasonable legal fees) imposed by or payable to any taxation, regulatory, or governmental authority, or otherwise arising from or relating in any way to your failure to maintain records or books of account in accordance with applicable law, including without limitation Section 230(1) of the Income Tax Act (Canada).
Intellectual Property
All content on our website, including text, graphics, logos, images, and software, is the property of AccountingHub Inc. or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, and revocable licence to access and use the website for its intended purpose. You may not reproduce, distribute, modify, or create derivative works from any content on our website without our prior written consent.
Disclaimer of Warranties
Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
AccountingHub does not warrant that the website will be uninterrupted, error-free, or free from viruses or other harmful components. We make no representations or warranties regarding the accuracy, completeness, or reliability of any information provided by users, including financial data, practice details, or any other content submitted through the website.
Limitation of Liability
To the maximum extent permitted by applicable law, AccountingHub Inc., its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our website or services, including but not limited to loss of profits, loss of data, business interruption, or any damages resulting from transactions between buyers and sellers.
In no event shall AccountingHub's total aggregate liability for any claims arising from your use of our website or services exceed the total fees you have paid to AccountingHub in the twelve (12) months preceding the event giving rise to the claim.
Indemnification
You agree to defend, indemnify, and hold harmless AccountingHub Inc., its officers, directors, employees, and agents from and against any claims, damages, losses, expenses, and costs (including reasonable legal fees) arising from your use or misuse of the website, any content or information you submit, your breach of these Terms, your violation of any third-party rights, or any misrepresentations you make.
Dispute Resolution
AccountingHub is not a party to any dispute between buyers and sellers and is not obligated to participate in the resolution of any such dispute. Users involved in a transaction are encouraged to resolve disputes directly with each other.
For any dispute between you and AccountingHub, you agree to first attempt resolution by contacting us in writing. If the dispute is not resolved within thirty (30) days, either party may pursue formal proceedings in accordance with the governing law provisions below.
Termination
We reserve the right to suspend or terminate your access to our website and services at any time, at our sole discretion, with or without notice, for any reason including but not limited to breach of these Terms, submission of false information, or conduct that we determine to be harmful to AccountingHub or other users.
Upon termination, your right to use the website ceases immediately. Provisions of these Terms that by their nature should survive termination — including confidentiality, limitation of liability, indemnification, and governing law — shall continue in full force and effect.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Ottawa, Ontario, Canada for the resolution of any disputes arising from these Terms.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
Changes to These Terms
We may update these Terms from time to time. When we do, we will post the updated version on this page and revise the effective date below. Your continued use of the website after any changes constitutes your acceptance of the updated Terms.
